Terms of Service

1. Acceptance of Terms

By accessing or using ReedTV ("the Service"), operated at reedtv.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including users of the ReedTV dashboard, API, video player, and embed features.

2. Description of Service

ReedTV is a video hosting platform that provides the following services:

• Video uploading, hosting, and delivery
• Live streaming via RTMPS, SRT, and WebRTC/WHIP protocols
• Embeddable video links compatible with Patreon, oEmbed, and other platforms
• Video analytics including view counts, geographic data, and referrer tracking
• AI-powered caption generation
• Customizable video player (colors, logos, autoplay, domain restrictions)
• Bring Your Own Account (BYOA) integration with Cloudflare Stream

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Account Responsibilities

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized use of your account
• Maintain only one account per person
• Not share your account credentials with others

You are responsible for all activity that occurs under your account. ReedTV is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Acceptable Use

You agree not to use the Service to:

• Upload, host, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Upload or distribute content that infringes on any copyright, trademark, patent, or other intellectual property rights of any party
• Distribute malware, viruses, or any other harmful software
• Send spam or unsolicited communications through the Service
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Use the Service to engage in any activity that interferes with or disrupts the Service or its infrastructure
• Use automated tools to scrape, crawl, or extract data from the Service without permission
• Circumvent or attempt to circumvent any usage limits, storage quotas, or spending caps

We reserve the right to remove any content and suspend or terminate any account that violates these terms, at our sole discretion.

5. Content Ownership and License

You retain full ownership of any content you upload to the Service, including videos, thumbnails, titles, and descriptions ("Your Content").

By uploading Your Content to ReedTV, you grant us a non-exclusive, worldwide, royalty-free license to host, store, deliver, transcode, and display Your Content solely for the purpose of operating and providing the Service. This includes generating thumbnails, creating embed previews, and delivering Your Content to viewers through our video player.

This license terminates when you delete Your Content from the Service or when your account is closed, except for copies that may remain in backups for a reasonable period.

You represent and warrant that you have all necessary rights and permissions to upload Your Content and grant this license.

6. Bring Your Own Account (BYOA)

If you connect your own Cloudflare Stream account to ReedTV using the BYOA feature:

• You are solely responsible for your Cloudflare account, including its security, configuration, and compliance with Cloudflare's terms of service
• You are responsible for all costs incurred on your Cloudflare account, including storage and bandwidth charges billed directly by Cloudflare
• ReedTV stores an encrypted version of your Cloudflare API token to access your account on your behalf. You may revoke this access at any time by disconnecting your account in Settings
• ReedTV is not liable for any data loss, service interruptions, or charges on your Cloudflare account

BYOA is available on the BYOA plan and the Pro plan. Connecting a BYOA account does not affect any videos stored on ReedTV's shared storage.

7. Payment Terms

ReedTV offers paid subscription plans billed monthly via Stripe. By subscribing to a paid plan, you agree to the following:

• Billing: Your subscription is billed on a monthly recurring basis. Charges are processed through Stripe, and you agree to Stripe's terms of service for payment processing
• Plans: Available plans include BYOA ($5/month), Starter ($5/month with 1,000 minutes of shared storage), and Pro ($15/month with 3,000 minutes of shared storage plus BYOA access). Plan details and pricing are subject to change with notice
• Overage: If you exceed your plan's included storage minutes, additional storage is billed at $8 per 1,000-minute block (rounded up to the nearest block) at the end of each billing cycle
• Spending Caps: You may set a spending cap in your account settings to limit overage charges per billing cycle. Setting a cap of $0 means no overage will be permitted beyond your included minutes
• Taxes: Prices are exclusive of applicable taxes, which may be added to your invoice as required by law

8. Free Trial

All plans include a free 7-day trial period. No credit card is required to start a trial. During the trial, you have access to all features of your selected plan.

At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your account will remain accessible but uploading and streaming features will be restricted until a subscription is activated.

9. Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will continue to have access to all features and your existing content until the period ends
• No further charges will be made after the current billing period
• Your videos and data will be retained for a reasonable period after your subscription ends, after which they may be deleted

Refunds are generally not provided for partial billing periods. If you believe you have been charged in error, please contact us at support@reedtv.com.

10. Termination

We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, if:

• You violate any provision of these Terms
• Your use of the Service poses a security risk or may cause harm to the Service or other users
• Your account has been inactive for an extended period
• We are required to do so by law

Upon termination, your right to use the Service ceases immediately. We may delete your account data, including uploaded videos, after termination. We are not liable to you or any third party for any termination of your access to the Service.

11. Limitation of Liability

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

ReedTV does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any defects in the Service will be corrected

In no event shall ReedTV, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or in connection with your use of the Service, whether based on warranty, contract, tort, or any other legal theory.

ReedTV is not responsible for any data loss that may occur as a result of service disruptions, account termination, or technical failures. You are encouraged to maintain your own backups of any content you upload to the Service.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Material changes may be communicated via email or a notice on the Service.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue use of the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the courts of the United States.
